MipMap Software Subscription Agreement

Welcome to use the MipMap Desktop Subscription Edition 3D reconstruction software (hereinafter referred to as “Software”) provided by Beijing MipMap Technology Co., Ltd. (hereinafter referred to as “Company” or “We”). This “User Agreement” (hereinafter referred to as “Agreement”) is a legal agreement between you (hereinafter referred to as “User” or “You”) and the Company regarding the use of the MipMap Desktop Subscription Edition service. Please read all the terms of this Agreement carefully before downloading, installing, registering, or using this Software. If you do not agree with any part of this Agreement, please stop using the Software immediately.

1. Definitions

1.1 Software: Refers to the MipMap Desktop software product developed, operated, and provided by the Company for 3D reconstruction, including related documents, updates, and additional features.

1.2 Subscription Edition: Refers to the version used through a subscription method, including weekly or monthly subscription plans, providing regular software updates, technical support, and services.

1.3 User: Refers to an individual or legal entity that accepts and complies with the terms of this Agreement, and downloads, installs, uses, or accesses the Software.

1.4 Subscription Service: Refers to the software usage service provided by the Company according to the subscription plan chosen by the User, including but not limited to software usage rights, technical support, and update services.

1.5 Account: Refers to the personal account created by the User when registering on the software platform, used to log in and access the Software’s subscription services.

2. License Grant

2.1 Scope of Authorization

The Company grants the User a non-exclusive, non-transferable, revocable license within the subscription period, allowing the User to use the functions of the Software under the premise of complying with this Agreement. This authorization is limited to personal or internal enterprise use of the Software, and the Software shall not be used for illegal activities or other unauthorized purposes.

2.2 Prohibited Behaviors

Users must not engage in the following behaviors:

  • Reverse engineering, decrypting, cracking, modifying, translating, reconstructing, or extracting source code;
  • Selling, sub-leasing, transferring, or distributing any part of the Software in any form;
  • Using the Software for illegal activities, or interfering with or disrupting the normal operation of the Software;
  • Using the Software for illegal purposes or behaviors that violate applicable laws.

3. Subscription and Payment

3.1 Software Subscription Edition Categories

  • Basic Edition: Standalone MipMap Desktop, can process no more than 5,000 images at a time, can be bound to a maximum of 5 computers, and has unlimited functions.
  • Professional Edition: Standalone MipMap Desktop, can process unlimited images at a time, can be bound to a maximum of 5 computers, and has unlimited functions.

3.2 Subscription Plans

The Company provides various subscription plans, including different software subscription editions and different forms of subscription options such as weekly and monthly subscriptions. Specific pricing, functions, and service content may vary.

3.3 Subscription Fees

  • Users need to pay the relevant fees according to the selected subscription plan. The fees will be paid in full before the subscription takes effect.
  • All fees are prepaid on a subscription cycle basis and do not include taxes (if applicable).
  • Users agree to pay fees through the payment methods designated by the Company, including credit card, bank transfer, electronic payment, and other methods.

3.4 Subscription Cancellation

Users can cancel their subscription before the subscription order is paid. Once payment is made, the subscription service is deemed to have started and will continue until the end of the subscription period.

3.5 Refund Policy

Once the subscription fee is paid, it will generally not be refunded, unless otherwise stipulated in this Agreement or required by applicable laws.

3.6 Subscription Failure

If the user’s subscription order cannot be deducted for any reason during payment, such as insufficient funds or an unavailable payment method, the subscription will be canceled. Users can re-subscribe after adjusting the payment method.

4. User Account and Security

4.1 Account Registration

Users need to register an account on the software platform and provide true and accurate personal or company information in order to use the software and its subscription services smoothly.

4.2 Account Security

Users should properly keep their account information (including username, password, etc.) and be responsible for all activities under their account. If any unauthorized use or account security issues are found, users should notify the Company immediately.

4.3 Account Information Update

Users are obliged to update their account information in a timely manner to ensure the accuracy and validity of the information.

5. Software Updates and Technical Support

5.1 Software Updates

The Company will release updated versions of the Software as needed. Subscription users can obtain all updated versions for free during the subscription period, including but not limited to function upgrades, performance optimization, and security fixes.

5.2 Technical Support

The Company will provide basic technical support to users during the subscription period. Support content includes:

  • Installation and configuration guidance;
  • Frequently asked questions;
  • Support for software function usage, etc. Support methods include email, online support, telephone support, etc. The specific support methods and timeliness are subject to the Company’s official instructions.

5.3 Service Interruption

The Company does not guarantee that the Software and related services can operate continuously and stably in all situations. Users should understand that unforeseen service interruptions may occur. The Company will notify users in advance within a reasonable range and do its best to restore services.

6. Intellectual Property Rights

6.1 Software Copyright

The Software and all related copyrights, patents, trademarks, technologies, and other intellectual property rights belong to the Company. Users only obtain a license to use the Software, and this license is non-transferable, non-sublicensable, or authorized for others to use.

6.2 User-Generated Content

Users enjoy full intellectual property rights to the 2D and 3D models and other content generated by users during the use of the software, provided that users comply with the terms of this agreement.

6.3 User Feedback

Any feedback, suggestions, or ideas provided by users shall be deemed as intellectual property owned by the Company. The Company has the right to use, copy, modify, publish, or disclose this feedback as needed.

7. Privacy Policy

The Company promises to collect, use, and protect users’ personal information in accordance with the “Privacy Policy”. Users should comply with the relevant terms of the Company’s privacy policy and agree that the Company collects and uses their personal information to provide software services.

8. Disclaimer and Limitation of Liability

8.1 Software Provided As Is

The Company makes no express or implied guarantees about the suitability, reliability, performance, stability, etc. of the Software. Users understand and agree to bear the risks of using the Software themselves.

8.2 Limitation of Liability

Under no circumstances shall the Company be liable for any damages arising from the use of the Software or subscription services, including but not limited to direct, indirect, incidental, special, or consequential damages.

8.3 Force Majeure

The Company shall not be liable for service interruptions or software problems caused by force majeure events such as natural disasters, network failures, technical issues, or government actions.

9. Termination

9.1 User Termination

Users can terminate their subscription and stop using the Software at any time, but the subscription fees already paid will not be refunded.

9.2 Company Termination

The Company has the right to terminate or suspend the user’s right to use in the following situations:

  • The user violates any terms of this Agreement;
  • The user fails to pay the subscription fees on time;
  • The user’s behavior is suspected of violating laws or infringing on the Company’s interests;
  • Other situations that the Company deems necessary.

10. Applicable Law and Dispute Resolution

10.1 Applicable Law

The establishment, execution, and interpretation of this Agreement shall be governed by the laws of the People’s Republic of China.

10.2 Dispute Resolution

If a dispute arises between the two parties, they shall first resolve it through friendly negotiation; if the negotiation fails, either party may file a lawsuit in the people’s court with jurisdiction in the place where the company is registered.

11. Other Terms

11.1 Agreement Completeness

This Agreement constitutes the complete agreement between both parties regarding the use of the software service. Any previous oral or written agreement that is inconsistent with this Agreement shall be subject to this Agreement.

11.2 Agreement Modification

The Company has the right to modify this Agreement at any time and publish the modified Agreement on the Company’s official website. The modified Agreement shall take effect from the date of publication. The user’s continued use of the software shall be deemed as acceptance of the modified Agreement terms.

11.3 Severability

If any provision of this Agreement is deemed invalid or unenforceable by a court, that provision shall be deemed severable and shall not affect the validity of other provisions.
